Selmion

Selmion: Terms of Use

This is the licence that applies to the Selmion software. It is shown in the software when a user signs in.

Version 2026-10-19

1. Who and what

These terms apply to your use of Selmion, a software tool supplied as a single file with its licence file and documents ("Selmion"). "We", "us" and "the Seller" mean the person or business named as the seller on your order or invoice or, if there is none, the person or business named in the Licence panel or on the pack the file came in. "You" means the business or organisation named as the licensee in your licence file or, for an evaluation copy, the business or organisation that uses it, and "user" means any person who uses Selmion on your behalf. "Site" means the premises named on your order or invoice or, if there is none, the premises where Selmion is used. By ticking the agreement box when you sign in, or by using Selmion, you agree to these terms for yourself and for your users.

2. Licence

We grant you a non-exclusive, non-transferable, revocable licence to use Selmion for your own business, at your site, on any number of computers there, for the period of the licence.

You may keep backup copies for your own use. You may not copy Selmion for another business or site, sell, rent, lend or share it, remove or change licence details or notices, bypass or interfere with the licence check, or reverse engineer or decompile it except where the law allows this despite this restriction.

Selmion contains third-party components supplied under their own licences, listed in the Licence panel and in THIRD_PARTY_NOTICES.txt. Those licences apply to those components.

3. What Selmion is, and is not

Selmion is a checking aid. It compares a list you load with what you record, flags items it recognises, and drafts messages and records.

Selmion does not give medical, pharmaceutical, legal, regulatory or other professional advice. It is not a controlled drug register, a prescription or dispensing system, a stock or accounting system, or a validated system of record, and it is not a substitute for professional judgement or for any record that the law requires you to keep.

Everything Selmion shows or produces, including product types, temperature classes, fridge and cold warnings, controlled drug flags and schedules, expiry warnings, quantities read from a supplier's file, statuses, messages, reports and print sheets, is a prompt for you to check. It is not a finding of fact and it does not replace your own count of the goods. Lists such as the controlled drug list may be incomplete, may contain errors, and may not include later changes in the law or in product names. You must check every line against the goods and the documents before you rely on it.

4. Your responsibilities

You are solely responsible for:

  • checking every delivery, order and line, and for every decision you make or action you take or omit;
  • complying with all laws, regulations, licences and professional standards that apply to you, including those about medicines, controlled drugs, storage temperatures, record keeping, data protection and employment;
  • the accuracy and lawfulness of the files you load and the information you enter;
  • keeping the registers, records and documents that the law requires, in the form it requires, and exporting or printing them before a licence ends;
  • keeping backups: Selmion keeps data in the browser, which can be cleared, lost or changed, so keep the printed record and exported files;
  • making sure that each user has been told to open the tutorial and to read the Help entries that apply to their work (the Help button, F1, or FAQ.html) before relying on Selmion for a delivery;
  • telling your staff that the activity record described in section 6 is kept and why;
  • the security of your computers, browsers, accounts and email; and
  • obtaining the correct licence for your site and keeping the licence file safe.

Choices. Selmion offers options at many points, including the type and temperature class of a line, its condition, its box, the quantity received, controlled drug flags and register ticks, column mapping, whether to accept a suggestion or a default, which features are switched on, and what a message or record says. We have prepared those options to the best of our knowledge, and that is not a warranty of accuracy. You and your users make the choices, and you are responsible for checking each one against the goods and the documents. To the extent that loss is caused by a choice made or not made by you or a user, including accepting a suggestion or a default without checking it, or leaving a feature switched off, it is your responsibility. Loss caused by a fault in Selmion itself is governed by sections 9 and 10. The tutorial, the Help and the FAQ explain how to use Selmion. They are instructions for use and add nothing to these terms.

5. Your data

Selmion is designed to run entirely on your computer. Its code makes no network connection, and the browser is instructed to refuse any network request, frame, form, worker or script that is not part of the file. It has no telemetry, and it does not send, upload or store your data on any website or server. We do not receive your data. The data you load and enter stays on the computer where it is used, in the browser's storage, until you remove it, the browser's data is cleared, or Selmion deletes saved progress and the activity record after about 30 days.

Data leaves your computer only when a person chooses an action that produces it, for example copying a message, opening an email draft, exporting a file, printing, or saving a problem report. What happens to it afterwards, including what an email service or another person does with it, is outside our control and is your responsibility.

This does not cover other programs or web pages on the same computer, or browser features such as spell check and translation, which are outside our control. Anyone with access to your computer or browser profile, and any software running on it, may be able to read or change what Selmion stores. Except as section 6 describes, we cannot access, recover or delete data held on your computer.

A problem report or a file reading report is prepared by Selmion and is sent only if a person chooses to send it. If you send us one, we use it only to deal with the problem and to improve Selmion, and we keep it only for as long as is needed for that. A problem report can include the file name, sheet names and column headings. A file reading report holds only the layout, without headings or lines, unless the person ticks the box to include the lines. If that box is ticked, it holds the file name and up to the first 40 lines of the file as read, which can include medicine names, quantities and supplier details. A person may also attach a screenshot, which is outside Selmion. Read the preview before you send a report, and do not include personal data or patient information.

6. The activity record

Selmion keeps a record of what each signed-in user does: the user name, the date and time, and which button or control was used. It does not record medicine, supplier, quantity or note content. Entries are deleted after about 30 days. The record exists so that the Seller can trace what happened when diagnosing a fault in Selmion or a dispute between you and us about its use, and so that your own users know that their actions are attributable. We read the record only to diagnose a fault in Selmion or a dispute between you and us about the use of Selmion, and only when you, the licensee, have agreed to this by email and the computer concerned is made available to us. We keep no copy of the record unless you agree in writing. It is stored in the browser on the computer where Selmion is used, in encrypted form, and is designed to be readable only by opening the administrator view in Selmion on that computer with a passphrase that only the Seller holds. You cannot read it yourself, and we can read it only as described in this section. You are responsible for telling your staff that the record is kept and why, including your duties under data protection law.

7. Updates, support and availability

Selmion is supplied as it is. Whether a supplier's file can be read, and how its columns are understood, depends on the file. We do not promise that any particular file or format will be read correctly. Selmion is designed for a current version of Microsoft Edge or Google Chrome. We do not promise that it will work in other browsers or after a change to a browser or an operating system.

Updates, fixes and support are provided at our reasonable discretion, without a guaranteed response time, until the date shown as "Updates until" in the Licence panel and, for a subscription, for as long as it is paid. A pilot licence includes them for the pilot period only. Where the Licence panel shows "No end date", they are provided for as long as we continue to make Selmion available, and we may stop on 12 months' written notice. We may change or withdraw features.

8. Fees, subscriptions, trials and licence files

Prices and the licence period are those stated on your order or invoice, and exclude any tax that applies. A licence is issued as a file.

An evaluation copy works for 14 days from first use on a computer and browser profile. A pilot licence works for the period stated in it. Both end automatically and may be withdrawn.

If a subscription is not renewed, the licence ends at the end of the period paid for, plus a short grace period shown in the Licence panel when one applies. After that, these features lock until a renewed licence file is loaded: loading files and PDFs, Finish and report, Print and Preview, the delivery record, Export CSV, Add a line, and Recent deliveries. Export or print the records you must keep before the licence ends.

Fees paid are not refundable except where the law requires it or we agree in writing.

9. No warranty

To the fullest extent the law allows, Selmion and everything we provide are supplied "as is" and "as available", without any warranty or condition of any kind, express or implied, including any warranty of accuracy, completeness, reliability, merchantability, satisfactory quality, fitness for a particular purpose or non-infringement, and any warranty that Selmion will be error-free, uninterrupted or free from harmful components.

10. Limits on our liability

To the fullest extent the law allows, we, our licensors and suppliers, and anyone acting for us, are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:

  • loss of or damage to medicines, goods, stock or property;
  • loss of profit, revenue, business, contracts, goodwill or anticipated savings;
  • loss, corruption or disclosure of data or records;
  • fine, penalty, regulatory or professional action, or the cost of responding to it;
  • other loss arising from goods or medicines that were checked, not checked or wrongly checked using Selmion;
  • claim made against you by anyone else; or
  • indirect, consequential, special or incidental loss;

arising from or in connection with Selmion, whether or not it was foreseeable and even if we were told that it was possible.

Our total liability to you for all claims arising from or in connection with Selmion is limited to the total you have paid us for the licence, or 100 pounds sterling if that is more.

Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited. Where a limit in these terms is not lawful in your place, it applies to the extent that the law allows.

11. Claims brought against us by others

You will compensate us for claims brought against us by anyone else, and for the reasonable legal costs of defending them, to the extent that they arise from your breach of these terms, your breach of the law, or your use of Selmion outside what these terms allow.

12. Ownership

Selmion, its documents and its licence system belong to us and our licensors. These terms give you only the right to use Selmion as stated here. Your data remains yours. Problem reports are covered by section 5. If you give us other feedback we may use it without obligation to you.

13. Ending the licence

You may stop using Selmion at any time. We may end your licence on written notice if you breach these terms or do not pay. Unless the breach is serious, we will allow you a reasonable time to export or print your records first. When a licence ends you must stop using Selmion and delete its copies, so export or print the records you must keep before then. Sections 3, 4, 5, 6, 8 (for fees already due), 9, 10, 11, 12 and 15 continue after the licence ends.

14. Events beyond our control

We are not responsible for any failure or delay caused by something outside our reasonable control, including failures of your computer, browser, operating system, electricity, internet or email services.

15. General

These terms, your order or invoice, and your licence file are the whole agreement about Selmion and replace any earlier understanding. Sales material describes the product and is not a promise of anything that is not written in them. The tutorial, Help and FAQ are instructions for use and add nothing to these terms. If part of these terms cannot be enforced, the rest continues. Not enforcing a right is not giving it up.

You may not transfer your licence or these terms without our written consent; we may transfer ours. Our licensors, suppliers and anyone acting for us may rely on sections 9, 10 and 12. No one else has any right to enforce these terms.

We may change these terms. The version shown in Selmion applies, and each user is asked to agree to a changed version at the next sign-in. A message sent to the support address in the Licence panel counts as notice to us. We may send notices to you at the email address on your order or invoice.

These terms are governed by the law of Gibraltar and the courts of Gibraltar have jurisdiction, but nothing here removes rights that the law of your country gives you and that cannot be excluded. Selmion is for business use. If you use it as a consumer in spite of that, your statutory rights are not affected.

16. Acceptance

By ticking the agreement box when you sign in, or by using Selmion, you confirm that you have read these terms, that you are authorised to accept them for your business, and that you will make your users aware of them.
